Project Finance

Project Finance

City-Yuwa Partners provides a wide range of legal services for project finance transactions, in which financing is obtained through the project finance method for the development and operation of a project.

The project finance projects we handle include projects for renewable energy (such as solar, wind, and biomass), infrastructure development projects such as roads, airports, educational facilities, and hospitals (including PFI projects) in Japan, as well as overseas power plants, waste treatment facilities, and other development projects.

We provide legal services to both the businesses developing and operating the projects and financial institutions that provide funds through project finance. We also support negotiations with landowners, construction companies, equipment manufacturers (including overseas power generation equipment manufacturers), facility operators, and other parties and draft contracts, negotiate with financial institutions for financing, and deal with legal issues related to the operation of the project after it begins operations. We provide continuous services from the project development and study stage to the post-operation stage in cooperation with teams familiar with renewable energy power generation, real estate, and infrastructure businesses.

In addition, we provide financial institutions with services such as examining the structure and legal issues (such as how to secure the use of power generation facilities and premises) when providing funds through the project finance method, and supporting the preparation and negotiation of project finance-related contracts (such as loan agreements, sponsor support agreements, and security agreements).
